AMY PAQUETTE

Founding Partner

AMY PAQUETTE is the architect of many of the most innovative business practices and legal affairs strategies that are used throughout the entertainment industry today. In a career spanning more than two decades she has formed productive relationships with major players across the film and television space.

Before founding Next Wave, Paquette was the final decision-maker overseeing business and legal affairs for Netflix. Heading a team that grew to more than 100, her purview included production, acquisitions and licensing of live-action and documentary films. This put Paquette on the front lines of the dealmaking process, negotiating with leading producers, creators, talent and studios. During her remarkable decade-long tenure, she navigated Netflix’s evolving business needs, strategic pivots and the challenges posed by the pandemic.

She also engineered a number of groundbreaking practices to help power Netflix’s meteoric rise from content licenser to Hollywood’s predominant movie studio, releasing as many as 60 films per year. She authored novel deal and participation structures, including the first streaming buyout arrangements, which have become the new industry standard. Paquette also negotiated Netflix’s biggest deals with A-list talent and high-level partners, including 360/overall deals, first-look pacts, multipicture deals, output arrangements and multiparty competitive auctions for packages and IP. Her leadership role required adept thinking concerning labor matters, the company’s expansion into gaming, the impact of pending legislation and the implications of AI for creatives and talent.

Prior to joining Netflix, Paquette was general counsel at leading Canadian production and distribution company Alliance Films. During her 13-year tenure Alliance blossomed into a major global entity, ultimately merging with eOne in a sale Paquette helped to broker. After the sale she spent a year as a full-time consultant to the president of eOne’s global film production arm.

At Alliance, Paquette managed the legal aspects of all corporate transactions, including the sale of Alliance Atlantis Communications’ business to CanWest Media and the acquisition of Maple Pictures from Lionsgate. In addition to managing litigation and arbitration matters worldwide, she handled a wide range of business matters, including output agreements and renewals with independent production and distribution partners, first-look pacts, library acquisition deals, financing agreements, joint ventures, marketing partnerships and major vendor contracts.

Paquette began her career at law firms Goodman and Carr in Canada and Olswang in the U.K. She practiced primarily in the areas of securities and corporate and commercial law, with a focus on public offerings, technology and new media.

ELLIOTT KLEINBERG

Founding Partner

ELLIOTT KLEINBERG is a trusted innovator in the art of dealmaking for the entertainment and media industries. His clients benefit from his wealth of expertise in fund structuring and management, as well as the oversight of content slates, IP rights, branding initiatives, talent deals and more.

Prior to founding Next Wave, Kleinberg built an enduring legacy at Netflix, where for five years he served as vice president, business and legal affairs. In this role, Kleinberg oversaw strategic planning and talent relations for the streaming giant, hammering out development, production, acquisition and distribution agreements for its vast slate of film content. He negotiated and drafted numerous high-priority deals, managed crucial relationships, franchises and productions, structured overall agreements (including studio output pacts for films, series and animated content) and oversaw arrangements for licensing, acquisition and theatrical exhibition.

During his tenure at Netflix, Kleinberg developed customized deal structures that broke new ground in a constantly evolving media landscape, including transmedia rights for films, series and games. He conducted content auctions and IP valuation, negotiated billion-dollar deals for comprehensive packages of rights and content, made key strategic decisions for the direct-to-consumer platform and brokered ancillary rights agreements encompassing merchandising, location-based entertainment, soundtrack albums and publishing. Kleinberg was also appointed to the leadership team for business and legal affairs at Netflix, helping to develop growth initiatives and mentorship programs.

Before joining Netflix, Kleinberg handled business affairs for 20th Century Fox, Fox 2000, Fox Animation, Fox Family and Fox International. At Fox his oversight included agreements governing development, production and co-production, co-financing and slate financing, location-based entertainment and video games.

From 2011 to 2017 Kleinberg served as chief operating officer and general counsel at Open Road Films. There he led a team of 50 employees and managed all business, legal and financial affairs for a company with a $400 million annual budget and a slate of up to 10 films per year. Kleinberg built out both domestic and international distribution platforms for all media, and the unique financing structures he helped create combined debt, licensing deals and subsidies to minimize risk and maximize upside.

Kleinberg earned his Bachelor of Arts at University of California, Berkeley, and his Juris Doctor at UCLA. He spent 11 years in private practice specializing in business negotiations and legal matters for major talent, financiers, distributors and technology companies, before being recruited to run United Artists as chief operating officer.
